PriorDesk Website Terms of Use

Effective Date: September 14, 2026

Last updated: September 14, 2026

These Terms of Use ("Terms") govern access to and use of priordesk.com, operated by Forbes Industries, doing business as PriorDesk ("PriorDesk," "we," "us," or "our").

By accessing or using this website, you agree to these Terms.

1. Purpose of Priordesk.com

Priordesk.com provides information regarding PriorDesk’s payer-administration services for independent medical practices, including eligibility, benefits and financial clearance, referral management, prior authorization, medication access and pharmacy benefits, claims and accounts-receivable administration, denials and appeals, credentialing and payer enrollment, and payer contracting and network administration. The website allows healthcare practices and other business users to evaluate PriorDesk services and submit business inquiries.

The public website is not a patient portal and is not used to perform live client work.

2. No Client Relationship Created by Website Use

Visiting priordesk.com, submitting the practice inquiry form, communicating with PriorDesk regarding a potential engagement, or receiving a proposal does not by itself create a client relationship.

PriorDesk begins contracted services only after applicable agreements and onboarding requirements have been completed.

Depending on the engagement, these may include:

• A service agreement or statement of work
• A Business Associate Agreement
• Required security documentation
• System provisioning
• User-access approvals
• Workflow configuration
• Other client-specific onboarding requirements

If an executed client agreement conflicts with information presented on this website, the executed agreement controls with respect to that engagement.

3. No PHI Through the Public Website

You must not submit PHI or other patient information through priordesk.com.

This includes, without limitation:

• Patient names
• Birth dates
• Addresses
• Medical record numbers
• Insurance or member identification numbers
• Identifiable authorization numbers
• Diagnoses
• Clinical notes
• Charts
• Treatment information
• Prescription information
• Patient photographs
• Laboratory or imaging information

The public practice inquiry form is intended only for business and operational information.

4. Handling of PHI During Contracted Services

If PriorDesk performs contracted services requiring access to PHI, such access occurs only after the appropriate contractual and onboarding requirements have been completed.

PriorDesk’s preferred operating model is to perform work inside systems provided, controlled, or approved by the client, including EHRs, payer portals, benefit-management systems, and other approved environments.

Clients are responsible for provisioning appropriate user accounts and access permissions.

PriorDesk personnel access client systems through individual accounts provisioned and controlled by the client, do not use shared provider credentials, and PriorDesk does not require clients to provide passwords through priordesk.com.

If secure transfer of PHI becomes operationally necessary, the permitted method will be established through the applicable client agreement or onboarding process.

5. PriorDesk Services

Depending on the contracted scope, PriorDesk may provide administrative payer-support functions in the following service areas:

• Prior Authorization
• Medication Access & Pharmacy Benefits
• Eligibility, Benefits & Financial Clearance
• Referral Management
• Claims & A/R Administration
• Denials & Appeals
• Credentialing & Payer Enrollment
• Payer Contracting & Network Administration

Prior Authorization, Eligibility, Benefits & Financial Clearance, and Claims & A/R Administration may be purchased individually or combined through a Payer Desk plan.

Medication Access & Pharmacy Benefits, Referral Management, Payer Contracting & Network Administration, and other services without a published price are separately scoped and priced in the applicable Service Order.

Formal denial and appeal services are separately scoped and priced unless expressly stated otherwise in the applicable Service Order.

Credentialing & Payer Enrollment services are separately scoped and priced unless expressly stated otherwise in the applicable Service Order.

The exact services, capacity, responsibilities, exclusions, and pricing applicable to a client are defined in the applicable executed agreement or Service Order.

PriorDesk does not make clinical determinations, provide medical advice, determine medical necessity, select or modify diagnosis or procedure codes, sign clinical documents or appeals on behalf of a treating provider, represent itself as the treating provider, or participate in peer-to-peer clinical reviews.

6. Functions Retained by the Healthcare Practice

Unless expressly agreed otherwise in writing, PriorDesk does not replace the clinical or licensed functions of a healthcare organization.

Functions that remain with the client or its licensed professionals may include:

• Clinical decision-making
• Determining medical necessity
• Selecting or changing diagnoses
• Selecting or changing CPT, HCPCS, or other clinical codes
• Provider attestations
• Provider signatures
• Peer-to-peer clinical discussions
• Clinical responses to payer questions
• Patient treatment decisions
• Other functions requiring professional licensure or clinical judgment

7. No Guarantee of Payer or Enrollment Outcomes

PriorDesk does not control payer, benefit-manager, credentialing, enrollment, reimbursement, or other third-party determinations.

No statement on priordesk.com constitutes a guarantee that:

• A prior authorization will be approved
• An appeal or reconsideration will be successful
• A claim will be paid
• Coverage or benefits quoted by a payer will result in payment
• A provider will be credentialed or enrolled
• A payer will accept a participation request, offer or amend a contract, or change a reimbursement rate
• A payer or organization will respond within a particular period
• A specific reimbursement outcome will occur

PriorDesk may agree to service standards regarding its own administrative performance, but third-party outcomes remain outside PriorDesk’s control.

8. Pricing

Prices and service levels displayed on priordesk.com describe PriorDesk’s current published service options. A client’s final contracted scope, capacity, exclusions, additional-volume rates, and other terms are confirmed in the applicable executed agreement or Service Order.

Actual pricing and contracted scope may depend on factors including:

• Selected service or service combination
• Monthly service volume
• Practice size
• Specialty
• Payer mix
• System and portal requirements
• Workflow requirements
• Case complexity
• Follow-up requirements
• Appeal volume and complexity
• Credentialing or enrollment requirements
• Number of providers and payers involved
• Client-specific scope

A written proposal may contain different pricing, minimums, included services, exclusions, and service levels.

Website pricing does not create a binding obligation until incorporated into an executed agreement.

Custom scopes or requirements outside the published service levels may be priced separately.
